Section 1. Introduction
This Terms of Use Agreement (The “Terms") governs your use of the services and resources provided by Vocalist AI LLC (referred to as "Vocalist AI", "we", or "us"), which includes the website www.vocalist.ai, Vocalist AI's voice models and any associated services and add-ons available through the website (collectively known as the "Service").
By accessing and using Vocalist.ai, clicking on "I Accept" or any similar button, and/or completing the registration process, you acknowledge that you have read, understood, and agree to be bound by this Agreement. For the avoidance of doubt, this Agreement is a precondition for your use of the Service. If you do not agree with any part of these terms, you must immediately discontinue your use of the service.
Please note, particularly, Section 12. of this Agreement, which contains the Dispute Resolution and Arbitration Agreement. This section governs how any disputes between you and Vocalist AI, including those arising before the effective date of this Agreement, are to be resolved. Specifically, it contains an Arbitration Agreement that, except for certain specified exceptions, requires disputes to be resolved through binding and final arbitration. Unless you opt out of the Arbitration Agreement, you:
- May only bring disputes or claims against us on an individual basis and not as part of any class or representative action or proceeding.
- Waive your right to pursue disputes or claims in a court of law and to have a jury trial.
Any dispute, claim, or request for relief relating to your use of the Service will be governed by and interpreted under the laws of the State of Florida, consistent with the Federal Arbitration Act. This interpretation will be without regard to principles of conflict of laws that would apply the laws of another jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement and is expressly excluded.
Section 2. The Service
2.1 General: Vocalist AI's Service is a comprehensive platform designed to equip you with tools and resources for enhancing music and vocal creation. The Service, which is owned and operated by Vocalist AI, includes various components such as visual interfaces, graphics, design, compilation, information, data, computer code (inclusive of both source and object code), all of which are protected by intellectual property laws and other relevant legislations. Furthermore, the Service encompasses a range of materials, including but not limited to, information, data, text, music, sound, photographs, graphics, video, messages, and tags ("Vocalist AI Property"), which are either the property of Vocalist AI or its licensors. The use of Vocalist AI Property is permitted strictly as outlined in these Terms, and Vocalist AI retains all rights to the Vocalist AI Property that are not explicitly granted under these Terms.
2.2 Your Use of the Service & Vocalist AI Property: Except as explicitly authorized by Vocalist AI in writing or as specifically permitted within the Service, we grant you authorization, under the terms of this Agreement, to access and utilize the Service and the Vocalist AI Property. This authorization is provided at our sole discretion and is intended strictly for your personal or internal business use. Any use beyond this scope is expressly forbidden.
2.3 Subscriptions: Upon registration, subscribers will be granted access to Vocalist.ai based on the chosen subscription plan. Subscribers are required to provide accurate, complete, and up-to-date information at all times. Failure to do so may result in the immediate termination of your account.
2.4 Use of Voice Models: Paid Subscribers are granted a non-exclusive, non-transferable, revocable license to use their voice model transformations for both personal and commercial purposes, including the release of their own creations.
2.4.1 Voice Model Previews: The voice models on our site have preview audio associated with them. These previews are pre-generated by Vocalist AI, and may not be used other than to internally and locally (on the service) preview the applicable voice model. These previews or demos may not be modified, reproduced, distributed, sublicensed, or otherwise used and may not be used for commercial purposes.
2.5 Business Entities: If you represent a business entity, you agree that only one individual affiliated with that entity may use the voice models as specified above. If multiple individuals would like to use a voice model, you will need to purchase multiple subscriptions.
2.6 Limitation on use during Free Trials or Promotions: During any free trial period or any other promotional offering where access to the voice models is provided without charge, subscribers are granted a license to use the voice models for personal and non-commercial purposes only. Any creations or outputs generated using the voice models during such periods shall not be used for commercial purposes or monetized in any manner. Violation of this provision may result in the immediate termination of the subscriber's access to the voice models and potential legal action.
2.7. Restrictions: You agree to use the Service and comply with all privacy, data protection, intellectual property, and other applicable laws. You shall not:
(a) interfere with, attempt to reverse engineer, or use any other methods attempting to discover the source code of any part of the service;
(b) interfere with the operation of the service by disrupting any network or server connected to or used by the service;
(c) interfere with or interrupt the service by disseminating any virus, spyware, or other malicious code or collect any information about another user or 3 rd party without consent;
(d) license, sell, rent, or sublease any of your rights in the service to a third party;
(e) use the service for any illegal purpose or in an illegal way in violation of any applicable laws that could result in fines, penalties, and other liabilities to us or others;
(f) employ any manual or automated tools or methods (such as spiders, robots, scrapers, crawlers, avatars, data mining tools, or similar technologies) to extract or download data from any web pages within the Website. The only exception to this rule is a limited, revocable permission granted to public search engine operators. They may use spiders for the sole purpose of creating publicly available, searchable indices of the materials on the Website. However, this does not include permission to create caches or archives of such materials.
Section 3. Accounts
3.1. Account Registration: To access the Service, it is necessary to create an account ("Account"). The account creation process requires you to provide a valid email address, a chosen username, a password, and other relevant information as requested on the registration form. During registration, you must adhere to the following guidelines regarding your username choice:
a) Do not select or use a username that belongs to another person, especially with the intention of impersonating that individual. b) Your chosen username should not infringe upon the rights of any third party unless you have obtained proper authorization. c) Avoid usernames that could be considered offensive, vulgar, or obscene in nature.
3.2 Accuracy of Disclosure: We reserve the right, at our sole discretion, to reject any username without any liability to you. You represent and warrant that the information provided during account creation and at all other times will be kept accurate and current. If you provide any information that is untrue or inaccurate or that we have reason to suspect is untrue or inaccurate we have the right to suspend or close your account and refuse use of the service. You agree not to create any new account if you have been previously barred from the service.
3.3 Login Credentials: You are responsible for safeguarding the password and credentials you use to access Vocalist.ai. You agree not to disclose your password to any third party and are responsible for any activities carried out under your account. You must notify Vocalist.ai immediately at support@vocalist.ai upon becoming aware of any unauthorized use of your account.
3.4 Your Account: You acknowledge that Vocalist AI retains the property interest along with all rights in and to your account forever.
3.5 Free Trials & Promotions: Any free trial or other promotion that provides access to the Service must be used within the specified time of the trial. At the end of the trial period, your use of the Service will expire, and any further use of the Service is prohibited unless you pay the applicable subscription fee. For avoidance of doubt, per 2.6 (Limitation on use during Free Trials or Promotions), any creations or outputs generated using the voice models during such periods are not permitted to be used for commercial purposes or monetized in any manner.
Section 4. Use of The Service
4.1 Content and Conduct
Acceptable Use
Users are encouraged to utilize our voice models creatively and responsibly. Acceptable uses of our service include, but are not limited to:
- Musical composition and performance.
- Voiceovers for videos, podcasts, and other multimedia projects.
- Creative and artistic expressions that respect the rights and dignity of others.
Unacceptable Use
To uphold the integrity of our singers' voice models and adhere to legal and ethical standards, the following uses of our service are strictly prohibited:
- Illegal Activities: Using the voice models for any unlawful purposes, including but not limited to fraud, defamation, and incitement to violence.
- Hate Speech and Discrimination: Creating content that promotes hate, discrimination, or harm against individuals or groups based on race, gender, religion, nationality, disability, sexual orientation, or age.
- Harassment and Abuse: Generating content that harasses, bullies, or is purposely offensive to individuals or groups.
- Political or Religious Propaganda: Using voice models to endorse political or religious agendas, particularly those that may be deemed controversial or offensive to the moral or political beliefs of our singers.
- Impersonation: Creating content that impersonates any individual, including public figures, without explicit consent.
- Copyright Infringement: Sharing, or otherwise transmitting any content that is subject to copyright protection not owned by you, unless you have legal rights to use it, or have obtained all necessary consents. This includes, but is not limited to, vocals, music, sound recordings, and other material without explicit authorization from the copyright owner.
- Sample Creation for Commercial Use: Using the voice models to create acapella or isolated vocal samples/loops for commercial distribution, such as vocal sample packs, vocal libraries, or other products containing isolated vocal content, is not permitted. Please contact support@vocalist.ai for clarification.
Examples for Clarity:
- Acceptable: A user employs a voice model to sing a song demo or as backing vocals on a song. The product of these uses could also be released to streaming services or other media as desired.
- Unacceptable: A user manipulates a voice model to deliver a speech promoting a political candidate, which might contravene the political neutrality expected from our service.
All such unacceptable uses will result in the immediate termination of your account and could lead to legal action for breach of these terms.
4.2 Credit and Acknowledgment
4.2.1 Crediting a Vocalist: When releasing music or any other content created using Vocalist.ai's voice models on streaming services including but not limited to Spotify, Apple Music, Amazon Music, YouTube, or any other public platforms, users should attempt to provide a clear and conspicuous credit to the specific AI voice model used wherever possible. This credit should be included in any descriptions, liner notes, metadata, or any other relevant areas where credits are customarily listed. For the avoidance of doubt, this is not a legal requirement, but a courtesy to the singers whose voice models are used.
4.2.2 Format of Credit: The credit should be in the following format: "[Name of Voice Model]”. If multiple voice models are used, each should be credited accordingly. Specifically for digital distribution, if you have used the vocal model as a primary vocalist i.e performing the lead at any point in the track then the voice model should be credited as a “Featured Artist”
4.2.3 Purpose of Credit: Crediting the model used acknowledges the contributions of the singers (whose voice models are used) in the creative process. It also helps build a profile for that artist, including a body of work, which in turn helps promote all work under that profile.
4.3 Intellectual Property
All voice models, software, and other materials provided by Vocalist.ai, excluding user-generated content, are the exclusive property of Vocalist.ai and protected by copyright, trademark, and other laws.
4.4 Trademarks
Vocalist AI, vocalist.ai, the vocalist AI logo, product and service names are registered or unregistered trademarks of Vocalist AI. (the “Marks”) You may not use or display these marks in any way without written permission.
4.5 Feedback: From time to time, we may ask for, or you may offer unsolicited, feedback on our product or the service. You grant Vocalist AI an unrestricted, perpetual, irrevocable, worldwide, fully paid, royalty-free transferable right and license to use such feedback in any manner including improving the service or creating other products and services. Vocalist AI has no obligation to incorporate your feedback or any obligations of confidentiality, credit, or payment for such feedback which is given at your own risk.
4.6 Copyright Ownership in User Uploads
Users affirm, represent, and warrant that they own or have the necessary licenses, rights, consents, and permissions to use any vocals or other content that they upload, share, or otherwise transmit via the Service. Users must not upload, share, or otherwise transmit any content that they do not have permission to use. It is the user's responsibility to ensure that their content does not infringe on the copyrights, trademarks, or other rights of third parties.
4.6.1 User Content: Provided that you have complied with the provisions set forth above, any content you create from your vocal inputs using the Vocalist AI voice models remains your intellectual property. By creating content using Vocalist AI's services, you grant Vocalist AI a limited right and license to host and store such content solely for the purposes of providing you with a recent history of your conversions. For the avoidance of all doubt, your data will never be used to train our or anyone else's AI models, nor will it be sold or leased for those purposes. This license is limited to the purposes stated above and does not grant Vocalist AI any additional rights to use, distribute, or monetize your content in any other way.
4.7 Reporting Infringements
If you believe that your intellectual property rights have been violated in any way by our service, please notify us promptly so we can address your concerns.
Section 5. Fees & Payment
5.1 Payment
You agree to pay all applicable fees for your Account according to the pricing and billing terms that are in effect when such fees are due. To subscribe to the Service, you must provide a valid payment method to Vocalist AI's Third-Party Payment Processor (as detailed in Section 10). Acceptable payment methods include providing a valid credit card or debit card number (Visa, MasterCard, or any other issuer accepted by us) ("Payment Provider"). The agreement with your Payment Provider governs the use of your chosen payment method, and for details on your rights and obligations, you should refer to that agreement rather than this one.
By giving Vocalist AI your credit or debit card details, you authorize us to immediately bill your Account for all due fees and charges and acknowledge that no additional notice or consent is required for billing. You are obligated to promptly inform Vocalist AI of any changes in your billing address, or the payment method used for your Account. We may receive and implement updates to your payment information from our payment processors. If your subscription is renewed without payment due to such updates, we may adjust your subscription period in line with Section 7 clause 7.2 (Automatic Renewal) After any updates to your payment method, either by you or us, you authorize the continued billing to the updated payment method.
5.1.1 Upgrading Your Subscription
By upgrading, you will be charged immediately and your new billing cycle will start today. You will have immediate access to your new credits and features.
5.1.2 Downgrading Your Subscription
When downgrading, there will be no immediate charge. Your current plan will remain accessible to you until the end of your current billing period, at which point you'll be charged your new rate.
Vocalist AI reserves the right to modify its pricing and billing methods at any time, with such changes being communicated via the Service and email. These changes will become effective on the Renewal Date as defined in the agreement.
5.2 Taxes
The payments required under Section 5 clause 5.1(Payment) of this Agreement are not inclusive of Sales Tax (defined below) that may be due in connection with the services provided under this Agreement. If it is determined that Vocalist AI has a legal obligation to collect a Sales Tax from you in connection with this Agreement, Vocalist AI shall collect such Sales Tax in addition to the payments required under Section 5 clause 5.1(Payment) of this Agreement. If any services, or payments for any services, under the Agreement are subject to any Sales Tax in any jurisdiction and you have not remitted the applicable Sales Tax to Vocalist AI, you will be responsible for the payment of such Sales Tax and any related penalties or interest to the relevant tax authority, and you will indemnify Vocalist AI for any liability or expense Vocalist AI may incur in connection with such Sales Taxes. Upon Vocalist AI's request, you will provide official receipts issued by the appropriate taxing authority, or other such evidence that you have paid all applicable taxes. For purposes of this Section, "Sales Tax" shall mean any sales or use tax and any other tax measured by sales proceeds that is the functional equivalent of a sales tax where the applicable taxing jurisdiction does not otherwise impose a sales or use tax.
5.3 Cooling-off Period- UK and EU Users
If you are located in the UK or the EU, you have the right to cancel certain services during a designated period ("Cooling-off Period"). Specifically, you can cancel a) Your subscription to the Service within 14 days of initiating a paid plan or associated free trial, or when upgrading your plan. If you cancel during the Cooling-off Period, we will fully refund the corresponding payment you made. However, if you utilize the Service during the Cooling-off Period in any capacity (using Credits, minutes, or any other usage), you acknowledge that you have willingly forfeited your right to cancel and will not be eligible for either a full or partial refund of the payment made. In the case of a free trial, be aware that the Cooling-off Period begins on the date the free trial starts, not when the Service Subscription Fee is charged as per this Agreement. Section 6: Privacy Policy
6.1 Privacy Policy Incorporation
For comprehensive details about how Vocalist AI collects, uses, stores, and protects your personal information, please refer to our Privacy Policy. Our Privacy Policy is an integral part of this Agreement, and by agreeing to these Terms, you also agree to the terms of the Privacy Policy.
6.2 Consent to Data Practices
By using the Vocalist AI service, you consent to our collection, use, processing, and sharing of your information as outlined in the Privacy Policy. This includes information collected through your use of our service, registration process, and any interactions with the service.
6.3 Updates to Privacy Policy
Please note that our Privacy Policy may be updated from time to time. We will notify you of any significant changes by posting the new Privacy Policy on our website or through other means of communication. Your continued use of the service after such changes will constitute your acceptance of the new Privacy Policy.

Section 7. Term & Termination
7.1 Terms of Agreement
These Terms begin when you first access or use the Service, or when you otherwise indicate acceptance of them, and continue until terminated by you or Vocalist AI in accordance with Section 7.4 (Termination).
7.2 Automatic Renewal
Following your initial subscription period, and after any subsequent subscription periods, your subscription will automatically renew for an additional period of the same length on the day following the end of the current period (each a "Renewal Date"). At each Renewal Date, your payment provider will automatically be charged Vocalist AI's current price for the subscription. By subscribing, you authorize Vocalist AI to charge your payment provider at the start of your subscription and at the beginning of each subsequent subscription period. To avoid automatic renewal or to modify or cancel your subscription, please log in to your account, visit the dashboard, and click the subscription section on the sidebar. If you cancel, you can still use your subscription until the end of your current term, but it won't be renewed after that. Upon renewal, if Vocalist AI doesn't receive payment, you agree to pay all due amounts upon demand and acknowledge that Vocalist AI may either terminate or suspend your subscription, continuing to attempt billing until payment is received. Once payment is received, your account will be reactivated, and your new subscription period will begin from the day payment was received. Refund terms are set out in Section 7.3.
7.3 Refund Policy
Except as required by applicable law or expressly provided in this Agreement, you won't receive a full or partial refund for any portion of a current subscription period. If you cancel your subscription, cancellation will take effect at the end of your current term, and your subscription won't renew for the next period. UK and EU users should also review Section 5.3 (Cooling-off Period - UK and EU Users), which describes additional rights and conditions that may apply.
7.4 Termination
Vocalist AI reserves the right to terminate this Agreement or suspend or terminate your access to the Service without prior notice if you breach any provision of this Agreement or misuse the service. We also reserve the right to change, suspend, or discontinue any aspect of the Service at any time. You can terminate your account and this Agreement at any time by emailing support@vocalist.ai or using any available termination function in the Service
7.5 Effect of Termination
Termination includes removal of access to the Service and may bar future use of the Service. It also involves the deletion of your password, and all related information and files in your account if applicable. Termination means you immediately lose the right to use the Service, and any of your files that may be stored in our live databases may be deleted, though copies might remain on backup storage maintained by or for us. You grant us a royalty-free license to retain such backups. If you stop using the Service but leave your content on it, this Agreement continues to apply as long as your files remain. Vocalist AI is not liable for any suspension or termination, including for deletion of your files. All parts of the Agreement that should naturally survive termination will do so, including ownership provisions, warranty disclaimers, and limitations of liability.
Section 8. Disclaimer of Warranties
To the fullest extent allowed by law, the Service, Vocalist AI Property, and content made available through the Service are provided "as is" and on an "as available" basis. Vocalist AI does not warrant that the Service will be uninterrupted, secure, or free of errors, viruses, or other harmful components, nor does it guarantee that any such issues will be corrected, or that the results obtained from the use of the Service will be accurate or reliable. From time to time, Vocalist AI may introduce new "beta" features, or tools for users to experiment with. These are offered for experimental purposes and come without any warranties of any kind. Vocalist AI reserves the right to modify or discontinue these new features or tools at its sole discretion.
Section 9. Limitation of Liability
You acknowledge and agree that you upload, share, or otherwise transmit content at your own risk. Vocalist AI, its affiliates, directors, or employees shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data, resulting from your use or inability to use Vocalist.ai, third-party actions, or unauthorized access to your content or data.
9.1 Limitation of Liability for User Content: Vocalist AI does not endorse any content uploaded to the Service by any user, nor does it assume any responsibility for the legality, reliability, accuracy, or appropriateness of such content. Vocalist AI disclaims all liability related to user-generated content. Vocalist AI reserves the right, but is not obligated, to remove or disable access to any content for any reason, including content that Vocalist AI, at its sole discretion, considers to be in violation of this Agreement or otherwise harmful to the Service or its users.
Section 10. Third Party Services
Vocalist AI currently uses Stripe, Inc. and its affiliates for processing credit and debit card transactions, as its third-party payment processor for payment services. This includes card acceptance, merchant settlement, and other related services ("Third-Party Payment Processor"). By making purchases on the Service, you agree to comply with the Third-Party Payment Processor's privacy policy (accessible at Stripe's Privacy Policy) and terms of service (available at Stripe's Terms of Service). Additionally, you consent to and authorize Vocalist AI and the Third-Party Payment Processor to exchange any information and payment instructions you provide as necessary to complete your transactions.
Some data used in our product is sourced from the VCTK dataset and is licensed under the Creative Commons Attribution 4.0 International License.
Section 11. Changes to Agreement
WE RESERVE THE RIGHT TO CHANGE OR MODIFY THIS AGREEMENT AT ANY TIME. PLEASE CHECK THESE TERMS FROM TIME TO TIME FOR CHANGES. When changes are made, vocalist AI will make a new copy of the Agreement available on www.vocalist.ai. If and when this occurs, we will also update the "Last Updated" date at the top of the Agreement. Any changes to the Agreement will be effective immediately for new users of the Service and on the stated Effective Date for existing Users (collectively, "Users"). Vocalist AI may require your consent to the updated Agreement before further use of the Service is permitted. In the event you do not agree to any change(s) after receiving any such notice, you must stop using the Service. Otherwise, your continued use of the Service constitutes your acceptance of such change(s).
Section 12. Dispute Resolution and Arbitration Agreement
12.1 Arbitration: You and we agree that any dispute, claim, or request for relief related in any way to your access or use of the Service or this Agreement will be resolved by binding arbitration, rather than in court. There are two exceptions: (a) both you and we can bring qualifying claims or seek relief in small claims court; (b) either you or Vocalist AI can seek court-based equitable relief for intellectual property rights infringement or misuse (like trademarks, trade dress, domain names, trade secrets, copyrights, and patents).
12.2 Arbitration Rules. The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.
12.3 Waiver of Jury Trial: YOU AND VOCALIST AI WAIVE ANY RIGHTS TO TRIAL IN COURT. You and Vocalist AI are instead electing that all disputes, claims, or requests for relief shall be resolved by arbitration under this Arbitration Agreement, except for the exceptions stated in Section 12.1 (Arbitration) An arbitrator can award the same damages and relief as a court, but there is no judge or jury in arbitration, and court review of an arbitration award is limited.
12.4 Waiver of Class or Collective Relief: DISPUTES MUST BE ARBITRATED INDIVIDUALLY. Class or collective arbitrations are not permitted. Claims of multiple customers or users cannot be combined in arbitration. If a ruling states that a claim cannot be limited as described here, then only that specific claim will be severed from the arbitration and brought into state or federal court in Florida. All other claims will be arbitrated.
12.5 30-Day Right to Opt Out:
You have the right to opt out of the provisions of this Arbitration Agreement by sending written notice of your decision to opt out to: support@vocalist.ai, within 30 days after first becoming subject to this Arbitration Agreement. Your notice must include your name and address, your Vocalist AI username (if any), the email address used to set up your Vocalist AI account (if you have one), and a clear statement that you want to opt out of this Arbitration Agreement. Opting out of this Arbitration Agreement does not affect any other arbitration agreements that you may have with us, nor does it affect the other parts of this Agreement, which will continue to apply to you.
12.6 Severability:
Except as outlined in Section 14.3 (Waiver of Class or Collective Relief), if any part of this Arbitration Agreement is found to be invalid or unenforceable under the law, then that specific part will be of no effect and severed, while the rest of the Arbitration Agreement continues in full force and effect.
12.7 Survival of Agreement:
This Arbitration Agreement will survive the termination of your relationship with Vocalist AI.
12.8 Modification:
If Vocalist AI makes any future material change to this Arbitration Agreement, you may reject that change within 30 days of it becoming effective, as outlined in Section 12.5 (30-Day Right to Opt-Out).
Section 13. General Provisions
13.1 Electronic Communications:
Your interactions with Vocalist AI may occur electronically, whether you're using the Service, sending emails to Vocalist AI, or receiving communications from us through the Service or via email. For contractual purposes, you (a) consent to receive electronic communications from Vocalist AI, and (b) agree that all terms, agreements, notices, disclosures, and other communications provided electronically by Vocalist AI fulfill any legal requirements as if they were provided in a written format. This doesn't affect your statutory rights, including those under the Electronic Signatures in Global and National Commerce Act at 15 U.S.C. §7001 et seq.
13.2 Assignment:
You may not assign, subcontract, delegate, or transfer your rights and obligations under this Agreement without the prior written consent of Vocalist AI. Any attempt to do so without that consent will be null and void.
13.3 Governing Law:
This Agreement is governed by the laws of Florida/USA consistent with the Federal Arbitration Act, without giving effect to any principles that provide for the application of the law of another jurisdiction, The United Nations Convention on contracts for the international sale of goods does not apply to the agreement. To the extent the parties are permitted under the Agreement to initiate litigation in a court, both you and Vocalist AI agree that all claims and disputes arising out of or relating to the Agreement will be litigated exclusively in the state or federal courts located in the State of Florida
